Scilex is distributing only 10.7 million of the approximately 186 million Semnur shares it holds — roughly 5.75% of its total position — to shareholders via a stock dividend keyed to a June 1, 2026 record date. That ratio tells the real story: this is a controlled unlock, not a spinout. Scilex retains dominant ownership of Semnur after the distribution, which means the parent keeps consolidating Semnur’s financials and preserving strategic control over SEMDEXA, the epidural dexamethasone gel that completed Phase 3 and carries FDA Fast Track designation for sciatica.
The deal logic here is about creating a visible, separately traded currency for Semnur without surrendering leverage. Semnur trades OTC under SMNR, and handing Scilex shareholders a direct equity stake in it generates retail attention and potential liquidity for a pipeline asset that has been buried inside a multi-product commercial-stage parent. Scilex shareholders get a token position; Scilex management gets a more legible valuation signal for an asset that — if SEMDEXA secures approval — addresses a chronic pain market where epidural steroid injections are a multi-billion-dollar standard of care and non-opioid alternatives are sparse.
There are real structural risks embedded in the fine print. The board reserves the right to revoke the dividend outright before the payment date, and payment is explicitly conditioned on solvency and surplus analyses remaining intact. That is not boilerplate — it is a live escape valve that reflects Scilex’s historically thin balance sheet and ongoing commercial execution pressure across ZTlido, ELYXYB, and Gloperba. If cash flow deteriorates before the payment date lands within its 60-day post-record window, the dividend disappears entirely.
The one marker that matters: whether Semnur’s OTC trading volume and share price respond materially once the record date passes and the distribution becomes concrete. A sustained price discovery event for SMNR would validate the thesis that unlocking even a minority public float sharpens investor focus on SEMDEXA’s NDA pathway — and gives Scilex a financing lever for Semnur that doesn’t dilute Scilex directly. No movement means the structure is window dressing on a subsidiary that still needs a partner or acquirer to reach commercialization.
