Exactly three years after taking the helm, Patrick Lockwood-Taylor is out at Perrigo — not because of a missed quarter or a failed acquisition, but because of personal conduct the board determined violated the company’s Code of Conduct. That distinction matters enormously. The separation carries no financial restatement, no operational scandal, no strategic reversal. It is a governance firing, and Perrigo moved fast enough to reaffirm its full-year 2026 guidance in the same breath, projecting Core adjusted EPS of $2.25 to $2.55 and Core net sales growth ranging from negative 3.0% to positive 1.0%.
The board’s replacement choice is deliberate in its symbolism. Lockwood-Taylor was appointed in June 2023 as an external hire brought in to stabilize a company that had been shedding weight for years. Albert Manzone, by contrast, has sat on Perrigo’s board since 2022 — he knows the asset base, the people, and the commercial operating model already in flight. His background spans consumer goods, food, and luxury hospitality, including a stint as CEO of Whole Earth Brands. That profile is less a turnaround specialist and more a steady-hand operator, which is precisely what an interim slot demands when the underlying strategy is intact and the crisis is personal rather than structural.
The timing also lands against a clean recent transaction. Perrigo completed the €332.6 million sale of its branded Dermacosmetics portfolio to Karo Healthcare — including ACO, Biodermal, Emolium, and Iwostin — with €305.6 million in upfront cash and up to €27.0 million in contingent milestones. That divestiture sharpens the OTC self-care focus and puts fresh capital on the balance sheet just as a permanent CEO search opens. Whoever takes the permanent role inherits a leaner portfolio and a defined strategic lane, which reduces the reinvention risk that typically spooks candidates and drags searches past six months.
The real test of whether the guidance reaffirmation holds credibility arrives August 5, when Perrigo reports Q2 2026 earnings — the first set of numbers delivered under Manzone’s watch. Any revision to that $2.25–$2.55 Core adjusted EPS range would immediately reframe this transition from a contained governance event into something messier. That number is the single marker that will determine whether the board’s “decisive action” narrative survives contact with results.
